Not an offer

Nothing on this website is an offer to sell, or a solicitation of an offer to buy, securities of Bio Terrava Technologies Inc. in any jurisdiction. Any offer will be made only through formal offering documents, to investors who qualify under an available exemption from prospectus requirements (for example under National Instrument 45-106 Prospectus Exemptions), and in compliance with applicable securities laws. No securities regulator has reviewed or approved this website or the merits of any investment.

Forward-looking information

This website contains forward-looking information, including statements about planned facilities and their capacity, location, timing, capital cost, operating cost, revenue, margins, product quality, carbon credit generation, government funding, customer qualification and technology development. Words such as “plan”, “expect”, “target”, “estimate”, “design” and “will” identify forward-looking information.

Forward-looking information is based on management assumptions, including: that feedstock can be secured at expected cost and quality; that steel and silicon producers qualify and buy the product; that environmental approvals are obtained on expected timelines; that equipment performs as designed when scaled; that carbon removal credit methodologies and prices remain broadly as assumed; and that financing, including non-dilutive funding, is available on acceptable terms.

Key risks

  • Technology scale-up. Bio Terrava’s advanced media and co-pyrolysis technologies are at Technology Readiness Level 4. Results at bench scale may not be repeated at pilot or commercial scale.
  • Customer qualification. Steel mills qualify new carbon sources through trials that can take 6 to 18 months, and may not adopt the product.
  • Permitting. Facilities need environmental compliance approvals, including for air emissions, that may be delayed, conditioned or refused.
  • Markets. Prices for fossil coke, charcoal, wood vinegar, electricity and carbon removal credits can fall. Carbon credit registries and methodologies can change.
  • Public funding and policy. Grant and tax credit programs and carbon pricing policy can change or be withdrawn.
  • Execution and financing. Construction costs, schedules and currency rates can move against the plan, and additional financing may dilute existing investors.
  • Key people. The company depends on a small team, including its founder.

Actual results may differ materially from forward-looking information. Do not place undue reliance on it. Bio Terrava does not undertake to update forward-looking information except as required by law.

Investment risk

An investment in an early-stage company is speculative, illiquid and may result in the loss of the entire investment. Get independent legal, tax and financial advice before investing. See also the Terms of Use.
